.Labソフトウェア使用許諾契約

第1条(目的)
1. 本契約は、株式会社虎徹(以下「当社」といいます)が提供するソフトウェア「.Lab」(以下「本ソフトウェア」といいます。)の使用をユーザーに許諾するにあたっての条件を定めるために締結されます。
2. ユーザーは、本ソフトウェアをユーザーが使用する機器にインストールした場合、又は本ソフトウェアを使用した場合、本契約の内容を承諾の上、本契約を締結したものとみなされます。

第2条(定義)
1. 本契約において、次の各号の用語は、次の意味を有するものとします。
2. 「本ソフトウェア」とは、当社が提供するソフトウェア「.Lab」及びこれに付随するアップデート、マニュアルその他当社が提供する関連資料をいいます。
3. 「ユーザー」とは、本契約を締結し、本契約に従い本ソフトウェアを使用する個人又は法人をいいます。
4. 「本ライセンス」とは、当社が、ユーザーに対し、本契約の条件に従って付与する、本ソフトウェアの非独占的かつ譲渡不能な使用権をいいます。
5. 「無償ライセンス」とは、本ライセンスのうち、本ソフトウェアの無償版を使用するために当社が付与するライセンスをいいます。
6. 「有償ライセンス」とは、本ライセンスのうち、本ソフトウェアの有償版を使用するために当社が付与するライセンスをいいます。
7. 「アップデート」とは、当社が本ソフトウェアについて提供する機能の追加、変更、不具合の修正、セキュリティ対策その他の変更を反映したプログラムをいいます。

第3条(使用許諾)
1. 当社は、ユーザーに対し、本契約の条件に従い、本ライセンスを付与します。
2. ユーザーが有償ライセンスを有する場合、ユーザーは有償ライセンス1件につき、ユーザーが使用する2台までのMacに本ソフトウェアをインストールすることができます。

第4条(権利帰属)
1. 本ソフトウェアに関連する著作権その他の知的財産権(以下「知的財産権」といいます。)は、全て当社に帰属します。本契約の締結は、ユーザーに本ソフトウェアの使用権を付与するものであり、本ソフトウェアの知的財産権が、当社からユーザーに移転することはありません。

第5条(禁止事項)
1. ユーザーは、本ソフトウェアの使用にあたり、次の各号に定める行為(以下「禁止事項」といいます。)を行ってはならないものとします。
2. 本ソフトウェア又は本ライセンスを第三者に譲渡し、貸与し、再使用許諾し、又はその他の方法により第三者に使用させる行為
3. ライセンスキーその他ライセンス認証に必要な情報を第三者と共有し、貸与し、譲渡し、転売し、又は公開する行為
4. 法令により許容される場合を除き、本ソフトウェアのリバースエンジニアリング、逆コンパイル、逆アセンブル、その他本ソフトウェアのソースコード、構造又は動作原理を解析し、又は解析しようとする行為
5. ライセンス認証機構その他本ソフトウェアに設けられた技術的保護手段を回避し、無効化し、又はその回避若しくは無効化を試みる行為
6. ライセンス数、使用可能端末数その他当社が定める使用条件を回避し、又は回避しようとする行為
7. 本ソフトウェアを、法令ないし公序良俗に違反する行為又は当社ないし第三者の権利利益を侵害し、若しくは侵害するおそれのある行為に使用する行為
8. 前各号のほか、本ソフトウェアに関連する、当社が合理的に不適当と判断する行為
9. 当社は、ユーザーが禁止事項を行ったことを認識した場合、何らの通知催告なく、本契約を解除し、本ソフトウェアの使用を停止することができるものとします。この場合において、ユーザーに損害が生じた場合においても、当社はその損害を賠償する責任を負わないものとします。

第6条(本ソフトウェアの仕様)
1. 本ソフトウェアは、コピー元データとコピー先データとの同一性をハッシュ値により検証する機能(以下「本ベリファイ機能」といいます。)を備えています。
2. 本ベリファイ機能は、コピー元データとコピー先データとの同一性を確認するに留まるものであり、次の各号に掲げる事項を保証するものではありません。
3. コピー元データ自体の健全性(撮影機材の記録不良、記録媒体の劣化又は破損、収録時のデータ破損その他これらに類する事由によるものを含みます。)
4. コピー先の記録媒体又はストレージの将来にわたる健全性その他保存されたデータの永続性
5. コピー元データに破損その他の不具合が存在する場合、当該データはその状態のままコピーされ、本ベリファイ機能においては、コピー先データとコピー元データのベリファイの結果が「一致」と判定されます。
6. ユーザーは、コピー元データの消去、編集、コピー元記録媒体の初期化、再使用等(以下「コピー元データ消去等」といいます。)を行う前に、自らの責任においてコピー先データの再生確認その他必要な確認を行うものとします。なお、コピー元データ消去等は本ソフトウェアの機能には含まれず、ユーザーの判断と責任において行うものとします。
7. 本ソフトウェアは、ユーザーのデータのバックアップ体制の完全性を保証するものではありません。当社は、重要なデータについて、複数の保存先に保存することを推奨します。

第7条(非保証)
1. 当社は、本ソフトウェアについて、商品性、特定の目的への適合性、有用性、正確性、完全性、継続性、セキュリティその他一切の事項を保証するものではありません。
2. 当社は、本ソフトウェアにエラー、バグその他の不具合が存在しないこと、本ソフトウェアが中断なく稼働すること、又は本ソフトウェアが全ての使用環境において正常に動作することを保証するものではありません。
3. 当社は、本ソフトウェアについて、不具合その他の問題が発見された場合、その修正又は改善に努めますが、これを行う義務を負うものではありません。
4. ユーザーは、本ソフトウェアがその使用環境、使用機器、記録媒体、OSその他の第三者製ソフトウェア等の影響を受ける場合があることを、あらかじめ了承するものとします。

第8条(アップデート)
1. 当社は、自らの裁量により、本ソフトウェアの機能追加、機能改善、不具合の修正、セキュリティ対策その他の変更を目的として、アップデートを提供することがあります。
2. 当社は、アップデートを提供する義務を負うものではなく、特定の不具合の修正、機能の追加又は改善若しくは特定の使用環境への対応を保証するものではありません。
3. ユーザーがアップデートを適用しなかったことに起因して生じた不具合その他の損害について、当社は責任を負いません。ただし、当社の故意又は重過失による場合には、この限りではありません。

第9条(サポート)
1. ユーザーは、本ソフトウェアに不具合、バグその他の問題を発見した場合には、当社が定める方法により、当社に通知することができます。
2. 当社は、前項の通知を受けた場合、その内容を確認の上、必要に応じて、修正版又はアップデートの提供その他当社が適当と判断する方法により対応するよう努めるものとします(以下「サポート」といいます。)。
3. ユーザーは、サポートを受けるにあたり、当社が必要と認める場合には、本ソフトウェアが出力するサポートログ、その他当社が指定する情報を提出するものとします。当社は、当該情報の提出がない場合、サポートの一部又は全部を提供できないことがあります。
4. 当社は、サポートの提供にあたり、ユーザーに対し最新のアップデートを適用した状態で本ソフトウェアを使用することを求めることができます。
5. 当社は、前各項に定める対応の内容、方法、時期、そのサポートの提供方法を自らの裁量により決定することができます。

第10条(責任の制限)
1. 当社は、本ソフトウェアの使用又は使用不能に起因若しくは関連してユーザーに生じた損害について、当社に故意又は重過失がある場合を除き、責任を負いません。当社がユーザーに対して損害賠償責任を負う場合、その賠償の範囲はユーザーに現実に生じた直接かつ通常の損害に限られ、逸失利益、間接損害その他の特別損害については賠償の範囲に含まれないものとします。
2. ユーザーが事業として本ソフトウェアを使用する場合において、当社が本契約に基づき損害賠償責任を負う場合、その賠償額は、当該ユーザーが当該ライセンスの対価として当社に現実に支払った料金の総額を上限とします。
3. 本条の規定は、消費者契約法その他の強行法規によりユーザーに認められる権利を制限するものではありません。

第11条(契約期間及び終了)
1. 本契約は、ユーザーが本契約の内容に同意した時点で成立し、ユーザーが本契約に基づき本ソフトウェアの使用を継続する限り、有効に存続します。ただし、本契約に別段の定めがある場合を除きます。
2. ユーザーが本契約のいずれかの条項に違反した場合その他当社が本契約を継続し難い合理的な理由が存在する場合、当社は、ユーザーに対し、何らの通知催告なく本契約を解除することができます。
3. 本契約が終了した場合、ユーザーは直ちに本ソフトウェアの使用を中止し、本ソフトウェア(複製物を含みます。)を削除するものとします。

第12条(本ソフトウェアの提供終了)
1. 当社は、事業上、技術上その他の理由により、本ソフトウェアの全部又は一部について、アップデート、技術サポート、ダウンロード提供その他の提供を終了することがあります。
2. 当社は、ユーザーに対し、本ソフトウェアのアップデート、サポートその他の提供を継続する義務を負いません。
3. 本ソフトウェアの提供終了後も、ユーザーは、既に適法にライセンス認証が完了した本ソフトウェアを引き続き使用することができます。ただし、当社は、新たな使用環境への対応その他継続的な使用を保証するものではありません。
4. 当社は、本条に基づく本ソフトウェアの提供終了によりユーザーに生じた損害について、当社に故意又は重過失がある場合を除き、その責任を負いません。

第13条(反社会的勢力の排除)
1. ユーザーは、自らが暴力団、その関係団体、これらの構成員、関係者その他の反社会的勢力(以下「反社会的勢力」という。)でないこと、及び過去に反社会的勢力ではなかったことを保証します。
2. ユーザーが前項に違反した場合、当社は、何らの通知催告を要せず、直ちに本契約を解除することができるものとします。

第14条(規約の変更)
1. 当社は、必要があると認められる場合には、ユーザーの個別の同意を得ることなく、本契約を変更することができます。
2. 当社は、必要があると認められる場合には、変更後の本契約への同意をユーザーに求めることができるものとします。この場合、ユーザーが当該同意を行わないときは、本ソフトウェアの全部又は一部を使用できなくなる場合があります。

第15条(分離可能性)
1. 本契約のいずれかの条項の全部又は一部が無効又は違法となった場合であっても、当該無効又は違法は、本契約の他の条項並びにその解釈及び適用に何ら影響せず、これらの適法性及び有効性を損なわず、またこれらを無効にするものではありません。

第16条(準拠法)
1. 本契約は日本法に準拠し、日本法に従って解釈されます。

第17条(裁判管轄)
1. ユーザーと当社との間における一切の紛争は、当社の本店所在地を管轄する地方裁判所を第一審の専属的合意管轄裁判所とします。

第18条(存続条項)
1. 本契約終了後も、第4条(権利帰属)、第7条(非保証)、第10条(責任の制限)、第11条(契約期間及び終了)第3項、第12条(本ソフトウェアの提供終了)第4項、第15条(分離可能性)、第16条(準拠法)、第17条(裁判管轄)及び本条は、本契約終了後も引き続き有効に存続するものとします。

.Lab End User License Agreement

Article 1 (Purpose)
1. This End User License Agreement (this “Agreement”) sets forth the terms and conditions under which Kotetsu Inc. (the “Company”) licenses to users the right to use the software “.Lab” (the “Software”) provided by the Company.
2. By installing the Software on a device used by the user or by using the Software, the user is deemed to have accepted the terms of, and entered into, this Agreement.

Article 2 (Definitions)
1. For purposes of this Agreement, the following terms shall have the meanings set forth below:
2. “Software” means the software “.Lab” provided by the Company, together with any Updates, manuals, and other related materials provided by the Company.
3. “User” means any individual or legal entity that enters into this Agreement and uses the Software in accordance with this Agreement.
4. “License” means the non-exclusive and non-transferable right to use the Software granted by the Company to the User in accordance with the terms and conditions of this Agreement.
5. “Free License” means a License granted by the Company to use the free version of the Software.
6. “Paid License” means a License granted by the Company to use the paid version of the Software.
7. “Update” means any program provided by the Company for the Software that implements additions or modifications to features, bug fixes, security measures, or other changes.

Article 3 (License Grant)
1. The Company grants the User a License subject to the terms and conditions of this Agreement.
2. If the User holds a Paid License, the User may install the Software on up to two (2) Mac computers used by the User for each Paid License.

Article 4 (Ownership of Rights)
1. All copyrights and other intellectual property rights relating to the Software (collectively, “Intellectual Property Rights”) are owned by the Company. This Agreement grants the User only the right to use the Software and does not transfer any Intellectual Property Rights in the Software from the Company to the User.

Article 5 (Prohibited Conduct)
1. The User shall not engage in any of the following conduct in connection with the use of the Software (collectively, the “Prohibited Conduct”):
2. transferring, lending, sublicensing, or otherwise allowing any third party to use the Software or the License;
3. sharing with any third party, lending, transferring, reselling, or publicly disclosing any license key or other information required for license authentication;
4. except to the extent permitted by applicable law, reverse engineering, decompiling, disassembling, or otherwise analyzing or attempting to analyze the source code, structure, or operating principles of the Software;
5. circumventing or disabling, or attempting to circumvent or disable, any license authentication mechanism or other technological protection measure implemented in the Software;
6. circumventing or attempting to circumvent the number of Licenses, the number of devices on which the Software may be used, or any other conditions of use specified by the Company;
7. using the Software for any activity that violates applicable laws or public policy, or that infringes or is likely to infringe the rights or interests of the Company or any third party; or
8. engaging in any other activity relating to the Software that the Company reasonably determines to be inappropriate.
9. If the Company becomes aware that the User has engaged in any Prohibited Conduct, the Company may, without prior notice or demand, terminate this Agreement and suspend the User’s use of the Software. The Company shall not be liable for any damages incurred by the User as a result of such termination or suspension.

Article 6 (Specifications of the Software)
1. The Software includes a function that verifies, using hash values, whether the source data and the copied data are identical (the “Verification Function”).
2. The Verification Function only verifies whether the source data and the copied data are identical and does not guarantee any of the following:
3. the integrity of the source data itself, including any recording failure of recording equipment, deterioration of or damage to recording media, corruption of data at the time of recording, or any similar cause; or
4. the future integrity of the destination recording media or storage, or the permanence of any data stored thereon.
5. If the source data is corrupted or otherwise defective, such data will be copied in its existing condition, and the Verification Function will indicate that the source data and the copied data “match”.
6. Before deleting or editing the source data, or formatting, reusing, or otherwise altering the source recording media, the User shall, at the User’s own responsibility, verify the playback of the copied data and perform any other necessary checks. Such deletion, editing, formatting, reuse, or other alteration is not a function of the Software and shall be performed at the User’s own discretion and responsibility.
7. The Software does not guarantee the completeness or adequacy of the User’s data backup arrangements. The Company recommends that important data be stored in multiple locations.

Article 7 (Disclaimer of Warranties)
1. To the maximum extent permitted by applicable law, the Company makes no warranties with respect to the Software, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, usefulness, accuracy, completeness, continuity, security, or otherwise.
2. The Company does not warrant that the Software will be free from errors, bugs, or other defects, that the Software will operate without interruption, or that the Software will operate properly in all operating environments.
3. If any defect or other issue is discovered in the Software, the Company will endeavor to correct or improve it, but shall have no obligation to do so.
4. The User acknowledges that the Software may be affected by the User’s operating environment, devices, recording media, operating system, or other third-party software.

Article 8 (Updates)
1. The Company may, at its sole discretion, provide Updates for the purpose of adding or improving features, correcting defects, implementing security measures, or making other changes to the Software.
2. Except to the extent required by applicable law, the Company shall have no obligation to provide any Updates and does not warrant that it will correct any particular defect, add or improve any particular feature, or support any particular operating environment.
3. The Company shall not be liable for any defect or other damage arising from the User’s failure to apply an Update, except where such defect or damage is caused by the Company’s willful misconduct or gross negligence.

Article 9 (Support)
1. If the User discovers any defect, bug, or other issue with the Software, the User may notify the Company in the manner specified by the Company.
2. Upon receiving a notice under the preceding paragraph, the Company will review the reported issue and, as necessary, endeavor to address it by providing a corrected version or an Update, or by any other method the Company deems appropriate (“Support”).
3. In order to receive Support, the User shall, if requested by the Company, provide the support logs generated by the Software and any other information specified by the Company. If the User fails to provide such information, the Company may be unable to provide all or part of the Support.
4. In providing Support, the Company may require the User to use the Software with the latest Update applied.
5. The Company may, at its sole discretion, determine the nature, method, and timing of the responses set forth in the preceding paragraphs and the manner in which Support is provided.

Article 10 (Limitation of Liability)
1. Except in cases of the Company’s willful misconduct or gross negligence, the Company shall not be liable for any damages incurred by the User arising out of or in connection with the use of, or inability to use, the Software. Where the Company is liable to the User for damages, such liability shall be limited to direct and ordinary damages actually incurred by the User and shall not include lost profits, indirect damages, or other special damages.
2. Where the User uses the Software for business purposes and the Company is liable for damages under this Agreement, the Company’s aggregate liability shall not exceed the total amount actually paid by the User to the Company for the applicable License.
3. Nothing in this Article shall limit any rights or remedies available to the User under applicable mandatory laws.

Article 11 (Term and Termination)
1. This Agreement shall become effective when the User accepts the terms of this Agreement and shall remain in effect for as long as the User continues to use the Software pursuant to this Agreement, unless otherwise provided herein.
2. If the User breaches any provision of this Agreement or if there are other reasonable grounds that make it difficult for the Company to continue this Agreement, the Company may terminate this Agreement without prior notice or demand to the User.
3. Upon termination of this Agreement, the User shall immediately cease using the Software and delete the Software, including all copies thereof.

Article 12 (Discontinuation of the Software)
1. The Company may, for business, technical, or other reasons, discontinue all or part of the Software, including Updates, technical support, downloads, or other related services.
2. Except to the extent required by applicable law, the Company shall have no obligation to continue providing Updates, Support, or any other services relating to the Software.
3. Even after the discontinuation of the Software, the User may continue to use the Software that has already been duly activated. However, the Company does not warrant compatibility with any new operating environment or the continued use of the Software.
4. Except in cases of the Company’s willful misconduct or gross negligence, the Company shall not be liable for any damages incurred by the User as a result of the discontinuation of the Software under this Article.

Article 13 (Exclusion of Anti-Social Forces)
1. The User represents and warrants that the User is not, and has not in the past been, a member of, affiliated with, or otherwise associated with any organized crime group, any member or affiliate thereof, or any other criminal or anti-social organization or group.
2. If the User breaches the preceding paragraph, the Company may immediately terminate this Agreement without prior notice or demand.

Article 14 (Amendments to this Agreement)
1. The Company may amend this Agreement without obtaining the User’s individual consent if the Company determines that such amendment is necessary.
2. If the Company determines that it is necessary, the Company may require the User to consent to the amended Agreement. If the User does not provide such consent, the User may be unable to use all or part of the Software.

Article 15 (Severability)
1. If any provision of this Agreement, in whole or in part, is held to be invalid or unlawful, such invalidity or unlawfulness shall not affect the validity, interpretation, or application of any other provision of this Agreement, and the remaining provisions shall remain lawful, valid, and in full force and effect.

Article 16 (Governing Law)
1. This Agreement shall be governed by and construed in accordance with the laws of Japan. Notwithstanding the foregoing, nothing in this Agreement shall deprive the User of any protection afforded to the User by any mandatory provisions of applicable law that cannot be derogated from by agreement.

Article 17 (Jurisdiction)
1. Any dispute arising out of or in connection with this Agreement between the User and the Company shall be subject to the exclusive jurisdiction of the district court having jurisdiction over the location of the Company’s head office as the court of first instance.

Article 18 (Governing Language)
1. This Agreement is based on the Japanese version of the End User License Agreement. In the event of any inconsistency or conflict between this Agreement and the Japanese version, the Japanese version shall prevail.

Article 19 (Survival)
1. Article 4 (Ownership of Rights), Article 7 (Disclaimer of Warranties), Article 10 (Limitation of Liability), Article 11.3 (Term and Termination), Article 12.4 (Discontinuation of the Software), Article 15 (Severability), Article 16 (Governing Law), Article 17 (Jurisdiction), Article 18 (Governing Language), and this Article shall survive the termination of this Agreement and remain in full force and effect.

.Lab End User License Agreement v2.0 (July 30, 2026)

This agreement is between you ("you") and Kotetsu Inc. ("we", "us") regarding the software ".Lab" (the "Software"). By installing or using the Software you agree to these terms. If you do not agree, do not install or use the Software.

1. General. The Software is protected by copyright and other intellectual-property laws and treaties. It is licensed, not sold; no intellectual-property rights are transferred to you.

2. License. We grant you a non-exclusive, non-transferable license to install and use the Software on up to two (2) Macs per paid license.

3. Restrictions. You may not: (1) sublicense, lend, lease, redistribute or otherwise allow third parties to use the Software; (2) share, lend, transfer, resell or publish license keys; (3) reverse engineer, decompile or disassemble the Software beyond what applicable law permits; (4) circumvent or attempt to circumvent license validation; (5) use the Software to infringe our or any third party's rights.

4. Nature of the Software and scope of verification.
(1) The Software's verification confirms that source and destination data are identical (matching hash values). It does not guarantee: (a) the integrity of the source data itself (including, without limitation, in-camera recording faults, media degradation or damage, or data corrupted at recording time); or (b) the future integrity or permanence of the destination storage.
(2) If the source data is corrupted, it will be copied in its corrupted state and verification will report a match.
(3) Before erasing, formatting or reusing source media, you must play back and visually check the copied files at your own responsibility. Erasing or formatting media is not a function of the Software and is always performed by your own action and judgment.
(4) The Software does not guarantee the completeness of your backup workflow. We recommend keeping important data in multiple independent locations.

5. No warranty; remedies. The Software is provided "AS IS". We do not warrant that it is free of errors or bugs. If you report a defect through our designated channel, we will endeavor to respond by providing a fixed version or other means we deem appropriate; this is your sole and exclusive remedy. We are not liable for damage caused by a defect that had already been fixed in an update you did not apply.

6. Limitation of liability. Except in cases of our willful misconduct or gross negligence, we are not liable for damages arising from use or inability to use the Software (including data loss or corruption, lost profits, business interruption, or other indirect, special or consequential damages). Where we are liable, our total liability shall not exceed the amount you actually paid for the Software, except in cases of willful misconduct or gross negligence. These limitations do not restrict rights granted to you by consumer-protection laws and do not apply to the extent they would be invalid under such laws.

7. Support. Technical support is conditional on submission of the support logs produced by the Software.

8. Termination. We may terminate this agreement immediately upon your breach. Upon termination you must stop using the Software and promptly delete all copies.

9. Survival. Sections 1, 4, 5, 6 and 10 survive termination.

10. Miscellaneous. This agreement is governed by the laws of Japan; the Tokyo District Court has exclusive jurisdiction in the first instance. If any provision is held invalid, the remaining provisions remain in effect. Matters not provided for herein shall be resolved through good-faith consultation.
